mNAV Indicator: Understanding the MicroStrategy (MSTR) Premium

The mNAV (Modified Net Asset Value) has become the core indicator for investors to assess whether the company’s stock price is fairly valued.
1. What is mNAV?
Section titled “1. What is mNAV?”mNAV is the “Modified Net Asset Value.” It compares the company’s market capitalization to the value of its Bitcoin holdings.
Formula:
mNAV = Total Market Cap / (BTC Held × Current BTC Market Price)
- mNAV = 1.0: Means the market values the company exactly at the price of the Bitcoin it holds.
- mNAV > 1.0: Indicates a “Premium.” Investors are willing to pay more for MSTR stock than they would pay to buy the same amount of Bitcoin directly.
- mNAV < 1.0: Indicates a “Discount.” Buying the stock is cheaper than holding an equivalent amount of Bitcoin directly.
2. Why is there a Premium?
Section titled “2. Why is there a Premium?”MicroStrategy often maintains an mNAV premium of 1.5x to 2.5x or even higher. Reasons typically include:
- Leverage Effect: MSTR issues low-interest convertible bonds to buy more Bitcoin, creating non-dilutive “BTC per Share” growth.
- Compliant Access: For many institutional investors restricted from direct Bitcoin ownership, MSTR provides a compliant alternative.
- Active Management: Management uses capital market tools (like ATM offerings) to raise capital and accumulate more Bitcoin, increasing the net asset value per share.
3. Risk Warning
Section titled “3. Risk Warning”The premium is not fixed. During market downturns or if the company’s financing capacity is constrained, the premium can shrink significantly. Observing historical mNAV percentiles can help investors judge the risk of their entry point.
